When you enroll in the Algotronix Membership Program ("Program"), you agree to be bound by these Program Terms and Conditions. Algotronix reserves the right at any time and from time to time, without notice, to add to, remove from, change or terminate the Program. Algotronix may notify participants of significant changes to the Program via Algotronix social media accounts or the algotronix-store.com website or by e-mail to an address supplied by the customer.

Credits accrue and may be redeemed in accordance with these Program Terms and Conditions. Algotronix may further restrict the Program based on your place of residence.

When you obtain Credits, you have obtained a limited license from Algotronix as described in the these Program Terms and Conditions. Accrued Credits are not your property. Credits are not transferable under any conditions and any purported transfer or exchange of Credits is null and void. Accrued Credits may not be combined with any other Program Participant's Credits. All accrued Credits will be forfeited upon your withdrawal from or termination of the Program. Failure to renew Advantage Program Membership at the end of the one year period constitutes withdrawal from the program. Algotronix may, at its sole discretion, agree to transfer Credits to another account in the event of special circumstances such as a participant being taken over by another company.

Credits are a coupon to obtain a discount on the price of specific products, they do not constitute a debt payable by Algotronix, they have no MONETARY value and may not be combined with any other offer, discount, coupon or promotion unless this is explicitly permitted in writing by Algotronix. NOTWITHSTANDING THAT CREDIT 'GIFT CARDS' HAVE A FACE VALUE MARKED IN $ TO INDICATE THE DISCOUNT PROVIDED CREDITS CAN NEVER BE CONVERTED TO CASH OR REFUNDED, EVEN UPON CANCELLATION OF YOUR ACCOUNT BY YOU OR TERMINATION OR SUSPENSION OF YOUR ACCOUNT BY US. IN THE EVENT OF THIS RESTRICTION BEING FOUND UNENFORCEABLE IN LAW THE MONETARY VALUE OF CREDITS IS $0.00001 per $ face value.

To the fullest extent allowed by law, Algotronix retains ownership rights in any and all Credits and grants you a limited, non-exclusive, non-transferable license to use Credits only as specifically designated by Algotronix as part of the Program. In the event that your account is cancelled or terminated by you or by Algotronix for any reason, then you will no longer have the right to use any Algotronix Credits stored in or otherwise associated with your account, without any compensation to you or any liability of Algotronix. Once Credits are deleted from your account, they will not be reinstated, except at Algotronix's sole discretion. Your only recourse and rights, if any, with respect to Credits obtained by you is to redeem such Credits in accordance with these Program Terms and Conditions pursuant to eligible redemption offers as specifically designated by Algotronix from time to time in Algotronix's sole discretion.

You are encouraged to redeem Credits stored in your account. Algotronix reserves the right, at any time and for any reason, to terminate the Program or to otherwise cease to allow any and all uses of Credits previously permitted.In such cases, Algotronix generally will attempt to provide advance notice to Participants and an opportunity for Participants to redeem then-existing Credits for eligible offers, as designated at such time by Algotronix in its sole discretion; however, Algotronix makes no guarantee there will be any such redemption offers available at such time.

The availability of any feature or aspect of the Program cannot be guaranteed.The existence of a particular offer available for redemption of Credits is not a commitment by Algotronix to maintain or continue to make such offers in the future. Credits required for any redemption offer may increase at any time. The scope, variety and type of offers that may be available for redemption of Credits can change at any time. Algotronix have no obligation to continue making offers available for redemption of Credits. In addition, we may limit your use Credits stored in your account, including applying limits to: the number of Credits you may have stored in or credited to your account balance at one time, the number of Credits you may redeem within a given time period (for example, one day), or the number of Credits you may obtain per promotion. We also may remove Credits from your account if they are posted to your account in connection with an activity that is subsequently voided, canceled or involves a return.

Participant Eligibility

• Only one Advantage account allowed per customer.
• Provision of false information or omission of any information requested on any Program enrollment or redemption form or receipt may be grounds for denial of enrollment and/or accrual of Credit in the Participant's account.

How Credits Add Up

• Algotronix will issue Credits equivalent to the Advantage program annual fee after payment is made to Algotronix. The Credits will expire one year after they are issued.
• If the customer renews membership on or before the expiry date (so that membership is continuous) the value of any unused expiring Credits will be added to the newly issued Credit for the membership renewal.
• Algotronix may, at its discretion, from time to time offer other opportunities to earn Credits.
• If you believe that you have validly obtained any Credits that have not posted to your account, then you must contact us within 3 months after the date you claimed to have obtained credits. You acknowledge and agree that we may require reasonable documentation to support your claim and our resolution of your claim after our internal customer service review processes will be considered binding and final by you.

Credit Redemption

• Credits may only be used towards purchasing IP core licenses and will be accounted for as a discount on the IP core price. They cannot be applied to other products and services, to include membership program renewal, physical products (such as evaluation boards) and design services. In the future Algotronix may choose to exclude specific IP cores from credit redemption.
• IP core products are subject to export control and are protected by copyright and trade secret laws. Algotronix may refuse to redeem credit towards an IP core purchase if we are prevented from supplying product by export control restrictions or if we have reasonable grounds (such as previous behavior) to believe Participant will not respect our copyright or trade secrets.
• If an IP core is purchased using Credits then the purchase does not provide one years free membership of the Advantage program (as it would for IP cores purchased for cash).
• After a Participant has redeemed Credits, the Participant will not be able to exchange, refund or return the credits for redeposit in the Participant's account.
• By redeeming Credits, the Participant releases Algotronix, subsidiaries and affiliates from any and all liability regarding the Program or any redemption or use of those Credits.

Miscellaneous

Participants are responsible for all taxes, liabilities, surcharges and any other government fees associated with participation in the Program.

To the fullest extent allowed by law, Algotronix makes no warranty, express or implied, regarding merchantability, fitness for a particular use or otherwise, regarding the Program, AND Algotronix is not liable or responsible for special, incidental, punitive, consequential, or exemplary damages arising from the or related to the Program. Algotronix' SignOnce license agreement will be applied to IP Core purchases partially or entirely funded by credits.

You acknowledge and agree that the results of our internal customer service review processes will be considered binding and final by you with respect to any and all matters arising from or related to the Program. Algotronix may audit any Participant's account at any time, with or without notice to the Participant, to ensure compliance with these Program Terms and Conditions. Algotronix, in its sole discretion, may cancel, suspend or otherwise limit your access to credits stored in your account if there is any suspicious, fraudulent, abusive or unlawful activity associated with your account. If we cancel, suspend or otherwise limit access to credits stored in your account, your right to use credits stored in your account immediately ceases. We will use reasonable efforts to investigate accounts that are subject to access limitations and to reach a final decision on the limitations promptly. Algotronix reserves the right to pursue legal action in the event of fraud, misrepresentation, abuse or violation of the Program Terms and Conditions.

This agreement shall be governed by the laws of Scotland.

The Program is subject to applicable government laws, rules and regulations. Void where prohibited.
